Profit Compass Customer Agreement

Profit Compass LLC · Arizona, United States
Effective and last updated: October 14, 2026 · Version customer-agreement-v1.1-2026-10-14

This Customer Agreement is a single document with two parts: Part I — Terms of Service, which governs your subscription to and use of Profit Compass, and Part II — Privacy Policy, which explains how information is collected, used, shared, retained and protected. By creating an account, subscribing, accepting an invitation, or using the Service, you agree to this entire Agreement.

Terms of Service

1. Who we are and what this Agreement covers

Profit Compass is a software-as-a-service application operated by Profit Compass LLC, an Arizona limited liability company (“Profit Compass,” “we,” “us,” or “our”). These Terms of Service (“Terms”) form a binding contract between Profit Compass and the business that subscribes to the Service (the “Customer,” “Subscriber,” or “your business”), together with each individual who accesses the Service (each a “User”). “Service” means the Profit Compass application, the public website, and related features, documentation and support.

The public website may be viewed by anyone without registration. Accounts, subscriptions and the application itself are intended for business use only.

2. Eligibility and authority

The person who creates the subscribing account (the “Owner”) must be at least 18 years old, legally capable of entering into a contract, and authorized to bind the business on whose behalf the subscription is purchased. By subscribing, the Owner represents that all three statements are true.

The Owner may invite additional Users, such as administrators and technicians. Access by employees, contractors and other authorized workforce members is governed by the Subscriber’s own policies and by applicable law, including employment and child-labor law. Profit Compass does not impose a separate age requirement on authorized workforce Users; the Subscriber is responsible for determining who it authorizes and for ensuring that authorization is lawful.

3. Accounts, authorized Users and security

  • Each User must have their own individual login. Credentials must not be shared, resold, or used by anyone other than the person they were issued to.
  • The Subscriber is responsible for all activity under its account and its Users’ logins, and for promptly removing access when a User leaves the business or no longer needs it.
  • You must keep credentials confidential, use a strong password, and notify us at support@GoProfitCompass.com promptly if you suspect unauthorized access.
  • The Subscriber determines the role assigned to each User. Roles control what a User can see; technicians, for example, are not given owner-level financial visibility or owner-level export.

4. Subscription, pricing, renewal and cancellation

  • The subscription price is $199 per month per subscribing business, unless we agree otherwise in writing. There is no free trial.
  • Subscriptions renew automatically each month and are charged to the payment method on file until canceled.
  • Merchant of record. Profit Compass LLC intends to use Paddle as its payment provider and merchant of record, subject to Paddle’s approval and activation. Once enabled, Paddle will handle subscription payments and billing. Customers will be informed of the applicable payment terms before completing a purchase. We do not collect or store your full payment card number.
  • You may cancel at any time. To request cancellation, email support@GoProfitCompass.com from your account email. Our support team will process your request and confirm the effective cancellation date by email. Sending an email does not itself cancel your subscription. For an end-of-period cancellation, your subscription will not renew after the paid-through date, and you keep full access through the end of your current paid billing period. For purchases made through Paddle after approval and activation, you may also use Paddle-provided cancellation links or its customer portal. These instructions do not limit your rights under Paddle's Buyer Terms or applicable law.
  • Once billing is activated, ordinary monthly subscription fees are non-refundable and are not prorated, including for partial months or unused access, except where applicable law or Paddle's applicable Buyer Terms or Refund Policy provide otherwise. This also applies to access removed under Section 12 of our Terms of Service, subject to those same exceptions. For purchases made through Paddle after approval and activation, Paddle's Buyer Terms and Refund Policy also apply. Nothing in this policy limits your applicable legal rights. Paddle alone decides whether to grant a discretionary refund under its policies; requesting a refund does not guarantee one. Contact support@GoProfitCompass.com for assistance, or request payment support from Paddle at https://paddle.net.
  • We may change pricing on notice; a price change applies to renewal periods beginning after the notice period, and you may cancel before it takes effect.
  • You are responsible for applicable taxes, and for any fees your bank or card issuer charges.

5. Failed payment

If a payment fails, paid access continues through the paid-through date already covered. After that date, paid functionality is disabled. Your data is not deleted at that moment; it is retained and treated under Section 6 so that you can reactivate or export it.

6. Data retention after paid access ends

  • For 90 days after paid access ends, we retain the Subscriber’s business records.
  • During that window, the Owner keeps a limited screen that allows account basics, reactivation, export of business data, and signing out. Paid tools remain disabled.
  • Reactivating a subscription during the retention window restores access to eligible retained data.
  • After the 90-day window, data may be deleted or scheduled for deletion. Some records may be retained longer where required or permitted by law, or as needed for billing, tax, security, fraud prevention, dispute resolution, or records of policy acceptance.
  • Deletion of backups occurs on our ordinary backup expiry cycle.

7. Customer Data and ownership

“Customer Data” means the information the Subscriber and its Users enter into or generate through the Service, including business setup and cost figures, customers, jobs, estimates, pricing, profit and loss entries, memberships, employee and technician records, and notes.

  • The Subscriber owns its Customer Data. We claim no ownership of it.
  • The Subscriber grants Profit Compass a limited, non-exclusive license to host, store, process, transmit, display and back up Customer Data as needed to provide, secure, support, maintain and improve the Service, and to comply with law.
  • The Subscriber is responsible for the lawfulness of its Customer Data and for having the necessary rights, permissions and notices to provide information about its own customers, employees and contractors to us for processing.

8. Export of business data

Owners (and co-owners, where the Subscriber grants that role) can export their own business records in common portable formats. Technicians do not receive owner-level export. Exports contain only the Subscriber’s own tenant data and never another business’s data.

Exports do not include Profit Compass source code, formulas, algorithms, calculation methodology, security configuration or credentials, or other trade secrets or intellectual property of Profit Compass or its licensors.

9. Aggregated and de-identified data

We may create and use aggregated or de-identified data derived from use of the Service to operate, maintain, secure, analyze, troubleshoot, develop, evaluate and improve the Service and our products. We do not intentionally identify or re-identify any Subscriber, business, User, employee, technician, or a Subscriber’s own customer from such data, and we do not sell identifiable customer business data.

10. Your business decisions; no guarantee and no professional advice

Profit Compass is a calculation and organization tool. Its outputs depend entirely on the figures you enter. You are responsible for reviewing and verifying every input and every output before relying on it, quoting a customer, setting a price, paying an employee, or making any other business decision.

  • We do not guarantee any profit, revenue, margin, sales volume, close rate, cost saving, or other business result.
  • Nothing in the Service is legal, tax, accounting, investment, financial, employment, insurance, regulatory, or other professional advice. Consult a qualified professional for those matters.
  • You remain solely responsible for pricing, contracts, invoicing, payroll, compliance and all dealings with your own customers and workforce.

11. Acceptable use

You agree not to, and not to allow anyone to:

  • copy, modify, reverse engineer, decompile, or attempt to derive the source code, formulas, algorithms or calculation methodology of the Service, except where such a restriction is prohibited by law;
  • resell, sublicense, rent, timeshare, white-label, or provide the Service as a service bureau to third parties, or use the Service or any non-public Profit Compass materials to build a competing or substantially similar product;
  • probe, scan, overload, disrupt or bypass any security, access control, rate limit or tenant boundary, or attempt to access another business’s data;
  • upload unlawful, infringing, malicious or harmful content or code, or use the Service for unlawful, deceptive or harassing purposes;
  • scrape or use automated means to extract data other than through features we provide; or
  • misrepresent your identity or your authority to act for a business.

12. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or terminate access, in whole or in part, if we reasonably believe there is non-payment, a violation of this Agreement, a security or fraud risk, unlawful use, or a legal requirement. Where practical and lawful, we will give notice and an opportunity to cure.

Effect of termination: paid functionality ends, license rights granted to you end, and the retention, export and deletion process in Section 6 applies. Sections that by their nature should survive — including ownership, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and these general terms — survive termination.

13. Intellectual property

The Service, including its software, calculation methodology, formulas, design, content, name, logo and branding, is owned by Profit Compass LLC or its licensors and is protected by intellectual property law. Subject to this Agreement and payment of applicable fees, we grant the Subscriber a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its internal business purposes. All rights not expressly granted are reserved. Non-public features, documentation, and methodology made available through the Service are confidential to Profit Compass LLC and may be used only to use the Service. Any feedback you provide may be used by us without restriction or obligation.

14. Availability, changes and third-party services

We aim to keep the Service available and reliable, but it may be unavailable for maintenance, updates, or causes beyond our control. We may modify, add or discontinue features; if we discontinue a material feature, we will use reasonable efforts to give notice.

The Service relies on third-party providers such as payment processing, hosting, database, email delivery and security services. Their availability and their own terms are outside our control, and we are not responsible for third-party products or services you choose to use.

15. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM ALL RISK, OR THAT ANY CALCULATION, ESTIMATE OR RESULT WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR OUTCOME. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PROFIT COMPASS LLC NOR ITS MEMBERS, OWNERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, ASSIGNS OR OTHER RELATED PARTIES (TOGETHER, THE “PROFIT COMPASS PARTIES”) WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, LOST GOODWILL, UNDERPRICED OR MISPRICED WORK, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE PROFIT COMPASS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY THE SUBSCRIBER TO PROFIT COMPASS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limits apply regardless of the legal theory and are an essential part of the bargain. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, and some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

17. Indemnification

To the fullest extent permitted by law, the Subscriber will defend, indemnify and hold harmless the Profit Compass Parties from and against any third-party claim, demand, action, proceeding, loss, liability, damage, fine, penalty, cost or expense (including reasonable attorneys’ fees) arising out of or relating to: (a) the Subscriber’s or its Users’ use or misuse of the Service; (b) Customer Data; (c) the Subscriber’s business activities, including pricing, estimates, work performed, and dealings with its customers, employees or contractors; (d) violation of this Agreement or of any applicable law; (e) infringement or violation of any third-party right; or (f) the absence of any required consent, permission or notice for information provided to us. We will notify you of the claim, allow you to control the defense of claims that seek only monetary relief, and reasonably cooperate; no settlement that imposes obligations on us may be made without our consent.

18. Governing law and dispute resolution

This Agreement is governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules, and by applicable U.S. federal law, including the Federal Arbitration Act.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED AND, TO THE FULLEST EXTENT PERMITTED BY LAW, REQUIRES INDIVIDUAL ARBITRATION AND WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

  • Informal resolution first. Before starting a formal proceeding, the parties will try in good faith to resolve the dispute by contacting support@GoProfitCompass.com and allowing at least 30 days to work it out.
  • Binding individual arbitration. To the fullest extent permitted by law, any dispute that is not resolved informally will be resolved by binding arbitration on an individual basis, administered by a reputable, neutral arbitration administrator under its applicable consumer or commercial rules then in effect, before a single arbitrator, seated in Arizona unless the parties agree otherwise or the administrator’s rules require otherwise. Judgment on the award may be entered by any court of competent jurisdiction.
  • Class and jury waiver. To the fullest extent permitted by law, disputes will be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and each party waives any right to a jury trial. If this waiver is found unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court and the rest of this section remains in effect.
  • Carve-outs. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or security. Nothing here waives any right that cannot lawfully be waived, including any right to file with, or participate in a proceeding before, a government agency.

19. Electronic acceptance and communications

You agree that ticking an acceptance box, clicking to continue, subscribing, or using the Service constitutes your electronic signature and acceptance of this Agreement, and that we may record evidence of that acceptance, including the account email, the type of acceptance, the version of this Agreement shown, the exact timestamp, and the network address and browser user agent associated with the request. You consent to receive notices, agreements, receipts and other communications electronically, at the email address associated with your account or through the Service.

20. Changes to this Agreement

We may update this Agreement from time to time. Each version carries a version stamp and an effective date. For material changes, we will provide reasonable notice and, where appropriate, require renewed acceptance before continued use. Continued use after an update takes effect means you accept the updated Agreement.

21. General terms

  • Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the rest remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign this Agreement without our written consent, except to a successor of your business that assumes it. We may assign it in connection with a merger, acquisition, reorganization or sale of assets.
  • Entire agreement. This Agreement, including Part II, is the entire agreement between the parties about the Service and supersedes prior discussions.
  • Headings. Headings are for convenience only and do not affect interpretation.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Relationship. The parties are independent contractors; nothing creates a partnership, joint venture, agency or employment relationship.
  • Survival. Provisions that by their nature should survive termination do survive.

Privacy Policy

Effective and last updated: October 14, 2026. This Privacy Policy explains how Profit Compass LLC handles information in connection with the Profit Compass website and application.

1. Scope and definitions

This Policy applies to the public Profit Compass website and to the Profit Compass application. “Personal information” means information that identifies or is reasonably linkable to an individual. “Customer Data” has the meaning given in Part I and is information the Subscriber controls and enters into the Service. “Subscriber” means the business that holds the subscription; “User” means an individual who accesses the Service under that subscription.

2. Information we collect

  • Account and company information — name, business name, email address, role, trade information supplied at signup, and account settings such as company branding.
  • Customer Data — the business records entered into the Service, including business setup and cost figures, customers and their contact and job-site details, jobs, estimates, pricing, profit and loss entries, memberships, and employee and technician records.
  • Subscription and payment metadata — subscription status, plan, billing email, renewal and paid-through dates, and identifiers returned by our payment provider. Full payment card numbers are handled by the payment provider; we do not store complete card details.
  • Authentication data — credentials handled by our authentication provider, session tokens, and invitation records. Passwords are stored by the authentication provider in hashed form and are not visible to us.
  • Support and communications — messages you send to us and our replies.
  • Policy acceptance records — the account email, the acceptance type, the version of this Agreement shown, the exact wording accepted, the timestamp, and the network (IP) address and browser user agent associated with the request.
  • Technical and log information — to the extent actually generated and needed to operate and secure the Service, such as request logs, IP address, browser and device information, and error diagnostics. We use cookies and similar local storage only as needed for sign-in, session management and essential functionality.

3. Sources of information

We receive information directly from you and your Users; automatically from your device and browser when you use the Service; from the Subscriber that invites you, if you join an existing account; and from our service providers, such as payment and authentication providers.

4. How we use information

  • to provide, operate, maintain and support the Service;
  • to create accounts, authenticate Users and enforce role-based access;
  • to process subscriptions, renewals, cancellations and related billing;
  • to perform the calculations and reporting you request;
  • to secure the Service, prevent fraud and abuse, and troubleshoot problems;
  • to communicate with you about your account, changes and support requests;
  • to keep records of policy acceptance;
  • to analyze, develop, evaluate and improve the Service; and
  • to comply with law and to establish, exercise or defend legal claims.

5. Customer Data, roles and tenant isolation

For Customer Data, the Subscriber decides what is collected and why; Profit Compass processes it on the Subscriber’s behalf to provide the Service. Each Subscriber’s records are separated by company, and access is enforced at the database level so that a User can reach only their own company’s records. Role-based limits apply within a company — for example, technicians do not see owner-level financial figures or owner-level export.

If you are an employee or technician, questions about the business records your employer keeps in the Service should be directed to that business.

6. Operator, administrative and support access

We do not operate an ordinary master-login model for casually browsing customer accounts. Administrative or backend access to Subscriber records may occur only as reasonably necessary to provide support you request, to investigate a security or integrity issue, to operate and maintain the Service, or to comply with law or legal process. Where support-access tooling is implemented in the future, our intent is for it to be permissioned, limited in time, and audit-logged; this Policy will be updated as such controls are implemented.

7. Service providers and third parties

We use a limited set of vendors to run the Service, and share information with them only as needed for them to perform their function. Categories include:

  • cloud hosting, application delivery and database services;
  • authentication and identity services;
  • payment processing and subscription billing;
  • transactional email delivery; and
  • logging, monitoring and security services.

Profit Compass LLC intends to use Paddle as its payment provider and merchant of record, subject to Paddle’s approval and activation. Only once Paddle is activated and you make a subscription purchase through Paddle will payment card details be provided directly to Paddle to process subscription payments and billing.

8. When we share or disclose information

  • with service providers, as described above, to deliver the Service;
  • with the Subscriber whose account you use — an Owner or administrator can see the records and activity within their own company;
  • to comply with law, regulation, subpoena, court order or other valid legal process;
  • to protect the rights, safety, property or security of Profit Compass, our Subscribers, Users or the public, and to investigate fraud or abuse;
  • in connection with a merger, acquisition, financing, reorganization or sale of assets, subject to this Policy or a successor policy; and
  • with your consent or at your direction.

9. Aggregated and de-identified information

We may create aggregated or de-identified information and use it to operate, maintain, secure, analyze, develop, evaluate and improve the Service. We do not attempt to identify or re-identify any Subscriber, business, User, employee, technician, or a Subscriber’s own customer from that information, and we do not sell identifiable customer business data.

10. Security

We use reasonable administrative, technical and organizational safeguards designed to protect information, including encrypted transport, role- and company-scoped access rules enforced at the database level, and restricted internal access. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for safeguarding credentials and for promptly reporting suspected unauthorized access to support@GoProfitCompass.com.

11. Retention

We keep information for as long as the account is active and for a 90-day window after paid access ends, during which the Owner may reactivate or export. After that window, business records may be deleted or scheduled for deletion. We may retain certain records longer where required or permitted by law or necessary for billing and tax, security and fraud prevention, dispute resolution, or records of policy acceptance. Backups expire on their ordinary cycle.

12. Export, deletion and reactivation

Owners can export their business data at any time from within the Service, and during the retention window from the limited post-cancellation screen. Reactivating during that window restores access to eligible retained data. To request deletion of your account data, or if you have questions about a request, contact support@GoProfitCompass.com. Requests are subject to the retention exceptions above and, for Customer Data, may need to be directed to the Subscriber that controls it.

13. U.S. state privacy rights

Depending on where you live and whether the applicable state law covers you, you may have rights to know or access the personal information we hold, to correct it, to delete it, to obtain a portable copy, and not to be discriminated against for exercising those rights. Not every right applies to every person or every record, and some information is held by us on behalf of a Subscriber. To make a request, contact support@GoProfitCompass.com. We will verify your request as required and respond within the time the applicable law allows.

We do not sell identifiable customer business data. If our use of analytics or advertising technology changes in a way that implicates statutory “sale” or “sharing” definitions, we will update this Policy and provide any required choices.

14. Children and minors

Profit Compass is a business tool, not a consumer service directed to children. Owners and subscribers must be at least 18 years old. We do not knowingly collect personal information from children as consumers. Where a Subscriber authorizes an employee or other workforce member to use the Service, that authorization is governed by the Subscriber’s policies and by applicable law, including employment and child-labor law. If you believe a child’s personal information has been provided to us improperly, contact support@GoProfitCompass.com and we will take appropriate action.

15. Where the Service is offered

Profit Compass is intended for use by businesses in the United States, and information is processed in the United States. We do not offer the Service to individuals or businesses in jurisdictions where we are not able to provide it lawfully. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local law.

16. Changes to this Policy

We may update this Policy. Each version carries a version stamp and an effective date. For material changes we will provide reasonable notice and, where appropriate, request renewed acceptance.
